Please read these Terms and Conditions ("Terms") carefully before using the Anavsan platform and services operated by Anavsan, Inc. ("Anavsan", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Anavsan's services (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Services

Anavsan provides a Snowflake workload governance platform powered by the APEX Engine. The Service includes tools for:

• Detecting Snowflake cost anomalies and credit waste
• Assigning accountability to responsible engineers
• Simulating query and workload optimizations
• Governing AI Services and Cortex token usage
• Documenting and validating cost savings outcomes
• Storage intelligence for Time Travel, Fail-Safe, and clone management

Anavsan operates exclusively on Snowflake metadata (query history, warehouse usage, cost signals, and account usage data). It does not access, read, copy, or transmit your business data.

3. Account Registration

To use the Service, you must register for an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized use at contactus@anavsan.com

You must be at least 18 years old and a human individual (not an automated agent) to register for an account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to develop a competing product or service
• Transmit any harmful, offensive, or unlawful content
• Scrape, crawl, or use automated means to extract data from the Service

Anavsan reserves the right to suspend or terminate accounts that violate these acceptable use restrictions.

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Your data: You retain all rights to the data you provide to or that Anavsan processes on your behalf ("Customer Data"). You grant Anavsan a limited license to process Customer Data solely to provide the Service.

Metadata only: Anavsan accesses Snowflake metadata through a service user with metadata-only, read-only permissions. Anavsan does not access, store, or transmit your actual business data or the content of your Snowflake tables.

Data security: Anavsan implements industry-standard technical and organizational measures to protect Customer Data.

Data retention: We retain Customer Data for the duration of your subscription and for a reasonable period thereafter to provide customer support. You may request deletion of your data at any time by contacting us.

6. Intellectual Property

The Service, including all software, algorithms, models, user interfaces, documentation, and content, is the exclusive property of Anavsan, Inc. and is protected by intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service except for the limited license to use it as described herein.

You retain ownership of any content or data you submit to the Service. By submitting data, you grant Anavsan a limited, non-exclusive license to use that data to provide and improve the Service, subject to our Privacy Policy.

7. Billing & Payment

Anavsan offers subscription-based pricing plans. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

• Free trial: We offer a 14-day free trial (60 days for AnavPro members). No credit card is required for the trial period.
• Subscription fees: Fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law.
• Overages: If applicable, overage charges will be billed at the rates specified in your plan.
• Taxes: You are responsible for all applicable taxes, duties, and levies.
• Price changes: We will provide at least 30 days' notice before changing subscription prices.

If payment is not received by the due date, Anavsan reserves the right to suspend or terminate your access to the Service.

8. Termination

By you: You may cancel your subscription at any time by contacting us at contactus@anavsan.com or through the account settings. Cancellation takes effect at the end of the current billing period.

By Anavsan: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice where possible.

Upon termination, your right to access the Service ceases. We will retain your data for a period of 30 days after termination before deletion, unless a longer period is required by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ANAVSAN DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

Anavsan's cost optimization recommendations and simulations are provided for informational purposes. Actual savings may vary depending on your specific Snowflake workloads, configuration, and actions taken.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANAVSAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL ANAVSAN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO ANAVSAN IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Anavsan, Inc. and its officers, directors, employees, contractors, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you submit to the Service

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to Terms

Anavsan reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service before the effective date.
